Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vocal Labs LLC, a limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the VocalPresets.ai website, application, and services (collectively, the "Service").

By accessing, browsing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

You must be at least 13 years of age to use the Service. If you are under 18 years of age, you represent that you have obtained parental or guardian consent to use the Service and that your parent or guardian agrees to these Terms on your behalf.

VocalPresets.ai is an AI-powered vocal transformation and enhancement platform that enables users to:

• Upload audio files containing vocal recordings
• Apply AI-powered voice presets and transformations to enhance or modify vocals
• Browse and select from a library of voice presets and models
• Save, manage, and organize processed audio files
• Access conversion history and re-process previous uploads
• Participate in gamification features including achievements, streaks, and referral programs
• Manage subscriptions and purchase credits for processing audio files

The Service utilizes third-party AI technology (including but not limited to Kits.ai) to process audio files. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate, current, and complete
• Maintain the security and confidentiality of your password and account credentials
• Accept full responsibility for all activities that occur under your account, whether authorized or not
• Notify us immediately of any unauthorized access or use of your account or any other breach of security
• Use only one account and not create multiple accounts to circumvent Service limitations or restrictions

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account information.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable
• Upload content that infringes upon any patent, trademark, trade secret, copyright, or other intellectual property rights of any party
• Upload content that contains software viruses, malware, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware
• Use the Service to impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity
• Use the Service to create content that impersonates others without their explicit authorization or consent
• Use the Service for any commercial purpose that violates applicable laws or regulations, including but not limited to creating deepfakes or synthetic media for fraudulent purposes
• Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means
• Use automated systems, scripts, bots, or other automated means to access, scrape, or interact with the Service without our express written permission
• Interfere with or disrupt the Service, servers, or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or algorithms of the Service
• Modify, adapt, translate, or create derivative works based upon the Service
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Service
• Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks
• Collect or harvest any information from the Service, including user account information, without our express written consent

Violation of this Acceptable Use Policy may result in immediate termination of your account and access to the Service, and may subject you to legal action.

Service Ownership: The Service, including all content, features, functionality, software, text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and the design, selection, and arrangement thereof, is owned by Vocal Labs LLC, its licensors, or other providers of such material and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

User Content: You retain all ownership rights in the audio files and other content you upload to the Service ("User Content"). By uploading User Content, you grant Vocal Labs LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content solely for the purpose of providing, operating, and improving the Service. This license includes the right to store, process, and transmit your User Content to third-party service providers (such as Kits.ai) as necessary to provide the Service.

Processed Content: You own the output audio files generated by the Service from your User Content, subject to your compliance with these Terms. However, you acknowledge that the AI models and technology used to process your content may be proprietary to third parties.

Trademarks: The VocalPresets.ai name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Vocal Labs LLC or its affiliates or licensors. You must not use such marks without our prior written permission.

Subscription Plans: The Service offers various subscription plans, including free and paid tiers. Subscription plans may include:

• Free tier with limited features and processing credits
• Starter plan with monthly or annual billing
• Pro plan with monthly or annual billing
• Additional credit packs available for purchase

Credits System: The Service operates on a credit-based system where processing audio files consumes credits. Credits may be:

• Regular credits included with your subscription plan
• Bonus credits earned through gamification features (achievements, streaks, referrals)
• Credits purchased separately through credit packs

Credit Expiration: Bonus credits may expire after a specified period (typically 30 days) as determined by your subscription plan. Regular subscription credits may expire according to your plan terms. Credits do not carry over between billing periods unless explicitly stated in your plan.

Payment Terms: By purchasing a subscription or credits, you agree to:

• Pay all fees and charges associated with your subscription or purchase at the prices in effect when such charges are incurred
• Pay all applicable taxes, if any, relating to your use of the Service
• Provide current, complete, and accurate billing and account information
• Promptly update your billing information to keep it current, complete, and accurate

Billing: Subscription fees are billed in advance on a monthly or annual basis, as selected by you. All fees are charged automatically to the payment method you provide. If your payment method fails or your account is past due, we may suspend or cancel your subscription.

Price Changes: We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price increases by email or through the Service. Price changes will apply to subsequent billing periods.

Refunds: All fees are non-refundable except as required by applicable law or as otherwise stated in these Terms. If you cancel your subscription, you will continue to have access to the Service until the end of your current billing period, but you will not receive a refund for any unused portion of your subscription.

Third-Party Payment Processing: Payments are processed by Stripe, Inc. ("Stripe"). Your use of Stripe's services is subject to Stripe's terms of service and privacy policy. We do not store your full payment card information on our servers.

The Service may include gamification features such as achievements, streaks, referral programs, and other reward mechanisms. By participating in these features, you agree to:

• Comply with all rules and guidelines governing these features
• Not engage in any fraudulent, abusive, or manipulative behavior to earn rewards
• Not create multiple accounts to exploit referral programs or other reward systems
• Accept that rewards, including bonus credits, may expire according to their terms
• Acknowledge that we reserve the right to modify, suspend, or terminate any gamification feature at any time

We reserve the right to revoke any rewards or credits earned through fraudulent or abusive behavior, and to terminate accounts engaged in such activities.

While we strive to maintain high availability of the Service, we do not guarantee that the Service will be available at all times or that it will be uninterrupted, secure, or error-free. The Service may be unavailable due to:

• Scheduled maintenance or updates
• Unscheduled maintenance or emergency repairs
• Technical failures or malfunctions
• Circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or internet service provider failures
• Third-party service provider outages or failures

We reserve the right to modify, suspend, or discontinue the Service, or any part thereof, at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

We may also impose limits on certain features or restrict your access to parts or all of the Service without notice or liability.

The Service integrates with and relies on third-party services and technologies, including but not limited to:

• Kits.ai: AI-powered voice conversion and processing services
• Stripe: Payment processing and subscription management
• Supabase: Database, authentication, and cloud storage services

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or reliability of any third-party services, and we do not endorse or assume any responsibility for any third-party content, services, or practices.

We shall not be liable for any loss or damage resulting from your use of or reliance on any third-party service, or from any failure, interruption, or delay in the operation of any third-party service.

AS IS BASIS: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that:

• The Service will meet your requirements or expectations
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate, reliable, or suitable for your intended purpose
• Any errors or defects in the Service will be corrected
• The Service or the servers that make it available are free of viruses or other harmful components

AI Processing Disclaimer: The Service uses artificial intelligence and machine learning technologies that may produce results that are unpredictable, inaccurate, or unsuitable for your intended use. You acknowledge that AI-generated content may contain errors, artifacts, or unintended characteristics. We do not guarantee the accuracy, quality, or suitability of any processed audio output.

No Professional Advice: The Service is not intended to provide professional audio engineering, legal, or business advice. You should consult with qualified professionals for advice tailored to your specific situation.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOCAL LABS LLC, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VOCAL LABS LLC ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY:

• Errors, mistakes, or inaccuracies of content
• Personal injury or property damage resulting from your access to or use of the Service
• Unauthorized access to or use of our servers and/or any personal information stored therein
• Interruption or cessation of transmission to or from the Service
• Bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service by any third party
• Errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service
• User Content or the defamatory, offensive, or illegal conduct of any third party

IN NO EVENT SHALL VOCAL LABS LLC'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO VOCAL LABS LLC IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

Termination by You: You may terminate your account and stop using the Service at any time by deleting your account through your account settings or by contacting us at support@vocalpresets.ai. Upon termination, your right to use the Service will immediately cease.

Termination by Us: We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Your breach of these Terms
• Your violation of any applicable law or regulation
• Your engagement in fraudulent, abusive, or illegal activity
• Your use of the Service in a manner that we determine is harmful to other users, us, or third parties
• Extended periods of account inactivity
• Non-payment of fees when due

Effect of Termination: Upon termination of your account:

• Your right to access and use the Service will immediately cease
• All licenses and rights granted to you under these Terms will immediately terminate
• We may delete your account information and User Content, subject to our Privacy Policy and applicable data retention requirements
• You will not be entitled to any refund of fees paid, except as required by applicable law

All provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the federal and state courts located in the United States.

Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vocal Labs LLC regarding the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Vocal Labs LLC.

Modifications: We reserve the right to modify these Terms at any time. We will notify you of any material changes by:

• Posting the updated Terms on the Service with a new "Last updated" date
• Sending an email to the address associated with your account
• Displaying a notice within the Service

Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms or any rights hereunder without your consent.

Force Majeure: We shall not be liable for any failure or delay in performance under these Terms resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or internet service provider failures.
